These Terms & Conditions (“Terms”) govern access to and use of sugamerp.com and the Sugam ERP software-as-a-service application (“Service”), provided by 30Days Technologies Pvt. Ltd. (“30Days Technologies”, “we”, “us” or “our”). By accessing our website, requesting a demo, or subscribing to the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, signing an order form, or otherwise using the Service, you confirm that you are authorised to accept these Terms on behalf of yourself or the organisation you represent, and that you agree to be bound by them along with our Privacy Policy, which is incorporated by reference.

2. Description of Service

Sugam ERP is a manufacturing and infrastructure ERP platform covering Engineering & Planning, Procurement & Inventory, Production & Quality, and Logistics & Dispatch. Features, modules and pricing may be updated from time to time; where changes materially reduce functionality for existing paying customers, we will provide reasonable notice.

3. Account Registration

You must provide accurate, current and complete information when registering for the Service and must keep your account credentials confidential. You are responsible for all activity that occurs under your account and must notify us promptly of any unauthorised use.

4. Subscription, Pricing and Payment

Sugam ERP is offered on a flat-price subscription basis covering all modules, as set out on our Pricing page or in your order form at the time of purchase.
Promotional pricing (for example, discounted festive-period rates) is valid only for the period stated at the time of the offer and may revert to standard pricing on renewal.
Annual plans billed under a “pay for 10, get 12 months” or similar offer are described in full on our Pricing page and/or your order form; the specific terms of any such offer form part of your agreement with us.
Fees are billed in advance and are non-refundable except as required by law or as expressly stated in your order form.
We may change our pricing for future billing periods with reasonable prior notice to active subscribers.

5. License and Acceptable Use

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to access and use Sugam ERP for your internal business operations. You agree not to: (a) reverse engineer, decompile or attempt to extract the source code of the Service, except as permitted by law; (b) resell, sublicense or provide the Service to third parties outside your organisation without our written consent; (c) use the Service to store or transmit unlawful, infringing or malicious content; or (d) interfere with or disrupt the integrity or performance of the Service.

6. Intellectual Property

The Service, including all software, design, text, graphics and trademarks (including “Sugam ERP” and associated logos), is owned by 30Days Technologies Pvt. Ltd. or its licensors and is protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service.

7. Customer Data and Confidentiality

As between you and us, you retain ownership of all business data you input into Sugam ERP (“Customer Data”). We will use Customer Data only to provide and support the Service, and will treat it as confidential, consistent with our Privacy Policy and any applicable data processing terms agreed with your organisation. You are responsible for ensuring you have the necessary rights to upload and process any Customer Data, including any personal data relating to your employees, vendors or customers.

8. Service Availability

We aim to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable for scheduled maintenance, updates or circumstances beyond our reasonable control. Specific uptime or support commitments, if any, will be set out in a separate service level agreement where applicable.

9. Limitation of Liability

To the maximum extent permitted by applicable law, 30Days Technologies Pvt. Ltd. shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or business opportunity, arising out of or related to your use of the Service. Our aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the fees paid by you for the Service in the twelve (12) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless 30Days Technologies Pvt. Ltd., its officers, employees and affiliates from any claims, damages, liabilities and expenses arising out of your breach of these Terms, misuse of the Service, or violation of applicable law or third-party rights.

11. Termination

Either party may terminate the subscription in accordance with the notice period set out in the applicable order form. We may suspend or terminate access to the Service immediately if you materially breach these Terms, including non-payment of fees. On termination, your right to access the Service ends, and we will make reasonable efforts to allow export of Customer Data for a limited period following termination, unless prohibited by law.

12. Changes to These Terms

We may revise these Terms from time to time. Material changes will be notified through the website or by email to active subscribers. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Subject to applicable law, the courts at Bahadurgarh, Haryana shall have exclusive jurisdiction over any dispute, claim or controversy arising out of or relating to these Terms or the Service.
